Affiliate Program Agreement

The Program is invitation-only. You may participate only if we have issued you an affiliate invitation and you have created an account. You must be at least 18 years old and have the legal capacity to enter into this Agreement.

Your participation is personal to you. You may not assign or transfer your affiliate account, referral links, or accrued commissions to any other person without our prior written consent.

We provide you with one or more unique referral links. A referral is attributed to you when a new customer signs up through your referral link and subsequently starts a paid subscription. Attribution is based on the referral code carried by your link at the time of sign-up.

No commission is payable where: (a) the customer already had an account, trial, or subscription with us; (b) the sign-up was not made through your valid, active referral link; (c) the referral is a self-referral (see clause 8); or (d) the referral otherwise breaches this Agreement.

Where a valid referral results in paid subscription revenue, you earn a cash share of that revenue at the rate shown in your affiliate dashboard. Commission is calculated on the net amount actually received by us (after discounts, taxes, and payment-processing considerations) and is denominated in Australian dollars (AUD).

Your referral link may also grant the referred customer a discount. The split between the customer discount and your commission is as configured on your referral link at the time of sign-up. Changing a split only affects future sign-ups; existing referrals keep the terms they registered with.

Whether commission applies to the first payment only or recurs across the subscription's life is determined by your affiliate terms as shown in your dashboard, and may be subject to a cap.

Newly earned commission is held as pending for the holding period shown in your dashboard, to allow for refunds, cancellations, and chargebacks. After the holding period, commission vests and becomes available to withdraw.

Early redemption of not-yet-vested commission may be available subject to a fee, as shown in your dashboard. Vested commission that remains unredeemed may expire after the period stated in your terms. Expired amounts are forfeited.

If a payment on which commission was calculated is later refunded, reversed, charged back, or otherwise not retained by us, the related commission is clawed back. Clawbacks may reduce your pending or available balance and, where necessary, may be offset against future commissions.

Commission is paid via Stripe Connect. To receive payment you must create and complete a Stripe Connect account, including any identity and payout verification Stripe requires. We are not responsible for delays or failures caused by incomplete or inaccurate Stripe onboarding.

Payouts are subject to the minimum balance threshold shown in your dashboard. You are solely responsible for determining, reporting, and paying any taxes (including GST or income tax) applicable to commissions you receive. Commissions are paid exclusive of any such taxes unless we are required by law to withhold or account for them.

You must promote Ledgitify honestly and lawfully. In particular, you agree to:

• Clearly disclose that your links are affiliate/referral links, as required by applicable advertising and consumer-protection laws (for example, using “affiliate link” or an equivalent disclosure).
• Describe Ledgitify accurately and only make claims consistent with our own marketing and the materials we provide.
• Only send promotional messages to people who have consented to receive them, in compliance with applicable anti-spam and privacy laws (including the Australian Spam Act 2003 where relevant).
• Use our name, logo, and brand assets only as provided and in accordance with any brand guidelines we supply.

You must not:

• Refer yourself, your own organisations, or accounts you control, or arrange sign-ups whose primary purpose is to generate commission rather than genuine use (“self-referral”).
• Bid on “Ledgitify” or confusingly similar terms in paid search, or register domains or social handles that impersonate or could be confused with Ledgitify.
• Use cookie stuffing, forced clicks, misleading redirects, spam, or any deceptive, unlawful, or automated method to generate clicks or sign-ups.
• Make false, misleading, or disparaging statements about us or any third party, or promote Ledgitify alongside unlawful, adult, or otherwise objectionable content.
• Offer unauthorised rebates, cash-back, or coupon-site deals in a way that misrepresents the offer.

We may withhold, reverse, or forfeit commissions, and suspend or terminate your participation, for any breach of this clause.

Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship between you and us. You are an independent participant and have no authority to bind us or make representations on our behalf.

Either party may terminate this Agreement and your participation in the Program at any time, with or without cause, on notice (which may be given in-app or by email). On termination, any vested commission not forfeited under this Agreement will be paid once it meets the minimum payout threshold, subject to any pending clawbacks.

If we terminate for your breach, we may forfeit unpaid commissions (whether pending or vested) associated with the breaching activity.

The Program is provided “as is”. We do not guarantee any level of traffic, sign-ups, or earnings. To the maximum extent permitted by law, our total liability to you arising out of or relating to the Program is limited to the total commissions payable to you in the 12 months preceding the event giving rise to the claim.

Nothing in this Agreement limits any rights you have under the Australian Consumer Law that cannot lawfully be excluded.

We may update this Agreement from time to time. We will make the current version available in your affiliate dashboard and update the version and effective date above. Where changes are material, we may require you to accept the updated Agreement before you can request further payouts. Your continued participation after an update constitutes acceptance of the changes.

This Agreement is governed by the laws of the State of Victoria, Australia, without regard to conflict-of-law principles. The courts of Victoria, Australia have exclusive jurisdiction over any dispute arising under it.
